These General Terms and Conditions of Service (hereinafter “Terms”) govern the contractual relationship between Diane Garo, operating under the trade name GaroTypos (hereinafter “GaroTypos” or “the Service Provider”), and any natural or legal person (hereinafter “the Client”) placing an order for services.
1. Subject and Scope
These Terms apply to all linguistic and editorial services offered by GaroTypos on the website https://garotypos.com/, including:
- Literary translation (from English and Spanish into French);
- Post-editing and revision of AI-assisted translations;
- Proofreading, copyediting, and beta reading;
- Transcreation and cultural consulting.
Placing an order implies full and unreserved acceptance by the Client of these Terms, which prevail over any other document from the Client, unless prior written agreement has been made.
2. Quotes and Orders
All services are subject to a free, no-obligation prior quote, valid for 30 days from its issuance date.
An order is firm and definitively validated when the following conditions are met:
- The quote is accepted by the Client (handwritten/electronic signature or explicit confirmation by email);
- The deposit specified in the quote (if applicable) has been received by GaroTypos.
In the event of an order cancellation by the Client during execution, work already completed will be invoiced at 100%, and the remaining balance may be subject to a flat cancellation fee as defined in the quote.
3. Payment Terms and Conditions
Prices are set in Euros (€). VAT is not applicable pursuant to Article 293 B of the French General Tax Code (CGI).
- Accepted payment methods: Bank transfer (IBAN) or PayPal (any transaction fees are born by the Client as defined in the quote).
- Payment arrangements: Services require a 50% deposit upon ordering and the remaining balance upon delivery.
- Payment deadlines: Invoices are payable upon receipt or within the timeframe specified on the invoice.
- Late payment penalties: In accordance with French law, any late payment automatically incurs late interest penalties at a rate equal to the ECB refinancing rate plus 10 percentage points, alongside a fixed recovery fee of €40 for commercial/business clients (Art. L441-10 of the French Commercial Code).
4. Delivery and Execution Timeframes
GaroTypos undertakes to execute the service with all due professional care and diligence, and to respect the delivery deadlines agreed upon in the quote.
Delivery timelines only begin upon receipt of all source documents and materials required to complete the project, as well as any deposit required. GaroTypos shall not be held liable for delays caused by the Client (late submission of files, delayed responses to requests for clarification, etc.) or by force majeure.
5. AI Usage and Transparency
GaroTypos uses artificial intelligence tools as part of an optimization process to save time. In all cases, GaroTypos guarantees systematic human processing and oversight (reviewing, filtering, editing, and editorial decision-making) to preserve the soul, style, and literary quality of the work.
6. Validation, Claims, and Revisions
Upon delivery of the text, the Client has a period of 14 calendar days to review the work and submit any requests for adjustments in writing (email).
- If the requested edits involve style fine-tuning or minor corrections aligned with the initial instructions, GaroTypos will execute them at no extra charge.
- After this 14-day period and without written notification from the Client, the service is deemed definitively validated and compliant.
- Any substantial modification to the source text or instructions made by the Client after quote acceptance will be subject to an amendment or additional billing.
7. Intellectual Property and Copyright
7.1 Literary Translation (Author-Artist Status)
In accordance with the French Intellectual Property Code (Articles L112-2 and L122-4), the translation of a literary work constitutes an intellectual creation protected by copyright.
- Retention of rights: Exploitation rights for the translation are transferred to the Client only after full and complete payment of the service price.
- Moral rights: The translator’s moral rights (notably the right to attribution) are inalienable and perpetual. The name Diane Garo must be clearly credited in the published work (title page, imprint, or credits) and in any associated promotion, unless otherwise agreed in writing.
7.2 Proofreading, Editing, and Consulting Services
For services that do not result in the creation of a derivative work (proofreading, copyediting, beta reading, consulting), rights to suggestions and adjustments are transferred upon full settlement of the invoice.
8. Confidentiality
GaroTypos undertakes to maintain the strictest confidentiality regarding all documents, manuscripts, information, and data transmitted by the Client in connection with quote requests or service performance. No data or text excerpt will be disclosed to third parties without the Client’s written consent.
9. Liability
GaroTypos applies all due skills and professional expertise to deliver high-quality work (obligation of means). GaroTypos’s financial liability shall not be engaged for indirect damages suffered by the Client and is, in any event, strictly limited to the total amount invoiced and paid for the project in question.
10. Protection of Personal Data
Personal data collected during the order process is handled in accordance with the site’s Privacy Policy, in compliance with the GDPR.
11. Applicable Law and Disputes
These Terms are governed by French law.
In the event of a dispute, the Client and GaroTypos undertake to seek an amicable solution first. Failing an amicable resolution within 30 days of written dispute notification, French courts shall have exclusive jurisdiction.
